HONDA BAND CHATTER PROMOTION
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PARTICIPATE OR WIN. PURCHASE WILL NOT ENHANCE CHANCES OF WINNING.
THIS CONTEST IS INTENDED FOR PARTICIPANTS IN THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER IF YOU ARE INELIGIBLE.
1. Eligibility: The Honda Band Chatter ("Promotion") is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older, and have a valid U.S. driver's license at the time of participation. Employees, officers and directors of the American Honda Motor Co., Inc. ("Sponsor"), Muse Communications, Urban Sports & Entertainment Group, Rubin Postaer and Associates, their subsidiaries and affiliated companies, advertising, promotion, or production agencies and Web masters/suppliers (and their respective tax (IRS) dependents, immediate family members [spouse, parent, child, sibling and their respective spouses] and individuals residing in their same household) are not eligible to participate. The Promotion is subject to applicable federal, state and local laws and regulations. Sponsor reserves the right, at any time, to verify eligibility requirements in any manner it deems appropriate. By participating, participants agree to these Official Rules, which are final and binding in all respects. Void where prohibited.
2. Promotion Period: Promotion begins at 7:00:00 p.m. Pacific Daylight Savings Time ("DST") on September 19, 2011 and ends at 9:00:00 p.m. Pacific Standard Time ("PST") on January 6, 2012 ("Promotion Period"). Sponsor’s computer is the official time keeping device for the Promotion.
3. To Participate in the Promotion: During the Promotion Period, you can register for the Promotion by visiting Hondabattleofthebands.com ("Website"). If you have not already registered for an account at the Website, you must register for an account and provide the required information. To participate in the Promotion, you must check the box indicating that you have opted-in to participate in the Promotion and that you agree to the Official Rules and authorize the Promotion application ("Application") to pull your profile information and other content in order to participate in the Promotion. Once you have registered you may earn points ("Points") by completing daily social activities during the Promotion Period in order to win prizes, as described below. Limit one (1) Registration per person/email address for the entire Promotion Period. Participants may not register/participate with multiple email addresses nor may entrants use any other device or artifice to register/participate under multiple identities.
4. How to Earn Points in the Promotion: During the Promotion Period, complete one or more of the social activities (each an "Activity") to earn Points in the Promotion, as further described below:
(1) Comment on the Honda Battle of the Bands Website: You can receive one (1) Point for logging into your account and posting a comment ("Comment") on a band's profile posted on the Website and posting a Comment in the "Comments" area. Comments may be monitored or screened and must adhere to the Submission Guidelines in order to be eligible to earn a Point. Limit ten (10) Comments per person/email address per day. Points will be awarded only for each unique Comment posted by the participant the first time that Comment is posted. Identical or substantially similar Comments posted by the same participant may be removed, in Sponsor's sole discretion.
(2) Upload Photos to the Honda Battle of the Bands Website: You can receive one (1) Point for uploading a photo ("Photo") on a particular band's page that illustrates your support for the band. Limit ten (10) Photos per person/email address per day. Points will be awarded only for each unique Photo posted by the participant the first time that Photo is posted. Identical or substantially similar Photos posted by the same participant may be removed, in Sponsor's sole discretion. Photos must not exceed a file size of 1 MB and must be in one of the following formats: .JPG or .JPEG.
(3) "Create Chatter" on a Band's Profile: You can receive one (1) point for sharing via the Facebook "f" button at the top of a band's profile page. This will share the following message on your Facebook profile page promoting the band that you "Created Chatter" and promoting the Promotion ("Message"). Points will be awarded only the first time a participant "Creates Chatter" about a band, subsequent use of the Facebook "f" button for the same band will not be awarded Points.
(4) Referral Links: The Message will also contain a unique referral link ("Referral Link"). If another individual clicks the Referral Link, registers for the Promotion, and subsequently "Creates Chatter" on the same band's profile page, you can receive one (1) Point for each such referral ("Referral"). Points will be awarded only the first time a Referral "Creates Chatter" about the same band, subsequent use of the "Create Chatter" button for the same band by the Referral will not be awarded Points.
Activities have no bearing on whether a particular band is invited to participate in the Honda Battle of the Bands Showcase. Participants Points for various bands which participant has created chatter about do not accumulate, only the highest number of Points earned for a single band will be counted towards the participant's ranking. All Activities must be completed and recorded no later than 9:00:00 p.m. PST on January 6, 2012, according to Sponsor's computer during the Promotion Period, in order to be eligible to earn Points. Comments and Photos hereinafter referred to as "Content." All Content must comply with the Content Submission Guidelines as detailed herein.
5. Content Submission Guidelines: By posting Content in the Promotion, you hereby warrant and represent that your Content conforms to the Content Submission Guidelines set forth herein. Content must not be obscene or indecent; shall not be sexually explicit or suggestive, profane or pornographic, violent or derogatory of any ethnic, racial, gender, religious, professional or age group; shall not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; shall not be offensive, endorse any form of hate or hate group; shall not defame, misrepresent or contain disparaging remarks about Sponsor or its products or services, or other people, products or companies; shall not communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; shall not invade privacy or other rights of any person, firm or entity; shall not in any other way violate any applicable federal, state or local laws or regulations; shall not infringe any third party trademarks, logos or infringe copyrighted material; shall not advertise or promote any brand or product of any kind without permission; shall not incorporate the names, likeness or personas of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your Content and grant the rights herein granted to Sponsor; and shall not contain any personal identification, such as names, email addresses or street addresses. Content that is not in compliance with these Content Submission Guidelines, as determined by Sponsor in its sole discretion, may be disqualified and will not be eligible to earn Points. CONTENT WAS NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants.
By posting Content you warrant and represent that it: (a) is your original work, (b) has not been previously published, © has not won previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtained permission from a person who's name or likeness is used in the Content and (f) and that publication of the Content will not infringe on the rights of any third party rights. Any entrant whose work includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Sponsor’s use of such entry, in a form satisfactory to Sponsor, upon request, prior to award of prize and/or naming of entrant as a potential winner. Any such participant will indemnify and hold harmless, Sponsor and Promotion Parties from any claims to the contrary. Sponsor reserves the right to, and may or may not, monitor/screen Content prior to posting them to the Website. By entering, you acknowledge that Sponsor has no obligation to use or post any Content you submit.
By posting Content, you grant Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the Content in any way, in any and all media, without limitation, and without consideration to you.
6. Determination of Winners: The three (3) participants with the highest Point totals for a single band at the end of the Promotion Period, as determined by Sponsor in its sole discretion will be declared the winners, subject to verification. Participants Points for various bands which participant has created chatter about do not accumulate, only the highest number of Points earned for a single band will be counted towards the participant’s ranking. Sponsor’s record of total Points will be the official determination of Points and participant rankings despite any rankings provided by the leaderboard. In the event of a tie, the participant who earned the tied number of Points in the shortest amount of time, as determined by Sponsor’s computer clock, will be eligible to receive the prize for which that participant was tied. In the event a tie still remains, the participant who received the most points by posting Comments during the Promotion Period will be eligible to receive the prize for which that participant was tied, if a tie continues, then the person who received the most Points by posting Photos during the Promotion Period will be eligible to receive the prize for which that participant was tied.
7. Prizes (3): Each prize winner will receive a trip for winner and one (1) guest to Atlanta, Georgia. The prize trip includes round-trip, coach class air transportation for winner and one (1) guest from a major commercial airport near winner’s home within the U.S. to Atlanta, Georgia one (1) double occupancy standard hotel room for two (2) nights; VIP access to the Honda Battle of the Bands weekend events; and VIP seating to the Honda Battle of the Bands Showcase. The prize winner will also have the opportunity to participate in Honda’s CR-V Promotion which will take place January 28, 2012 in Atlanta, Georgia, as further described in the official rules of the Honda CR-V Promotion located at Hondabattleofthebands.com.
Approximate retail value ("ARV"): $2,000.00. Actual value of trip may vary based on point of departure and airfare fluctuations. Any difference between stated approximate retail value and actual value of Prize will not be awarded. All prize details not specified in the Official Rules will be determined in Sponsor’s sole and absolute discretion. Certain restrictions and black out dates may apply. Selection of airline and hotel are solely within Sponsor’s discretion. Meals, gratuities, luggage fees, incidental hotel charges and any other travel-related expenses not specified herein are the sole responsibility of winner. All travel must be taken on dates specified or prize will be forfeited and may be awarded to an alternate; no alternative travel dates are available. Exact travel dates and arrangements subject to availability. Winner and travel guest must travel on same itinerary. If winner is eligible, but a minor in his/her state of residence, the travel guest must be winner’s parent or legal guardian. A minor may accompany winner as a travel guest only if the winner is the minor’s parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor’s parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. driver’s license) required for travel. Once travel guests are selected, they may not be substituted, except in Sponsor's sole and absolute discretion. Airline tickets are non-refundable/non-transferable and are not valid for upgrades and/or frequent flyer miles. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. If in the judgment of Sponsor, air travel is not required due to winner's proximity to Atlanta, Georgia, ground transportation will be substituted for roundtrip air travel at Sponsor's sole and absolute discretion. The difference in value will not be awarded to the prize winner. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Additional prize award details and travel information to be provided to the prize winner at the time of notification. Prize winner and guests are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Lost, stolen or damaged airline tickets, travel vouchers or certificates will not be replaced or exchanged. Seat location of event tickets is in Sponsor’s sole discretion. Tickets are subject to the terms and conditions listed thereon. Sponsor is not responsible for the cancellation or delay of any event, prize activities, or any portion thereof, for any reason, in which event that portion of the prize will be forfeited in its entirety and no substitution will be provided except in Sponsor's sole discretion.
Points are void after 11:59:59 p.m. EST July 10, 2012. Prizes/Points are non-transferable, may not be substituted, except in Sponsor’s sole discretion, and cannot be redeemed for cash. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. Applicable federal, state, local and other taxes and fees associated with the prizes and any expenses related to the acceptance and use of prizes and not specified in these Official Rules are the sole responsibility of the Winner. U.S. Winner may be issued an IRS 1099 form for prizes valued over $600. Unclaimed prizes/Points will not be awarded.
8. Winner Notification: Winners will be notified by email, phone or mail on or about January 28, 2012. Sponsor is not responsible for any change in participant's email, mailing address and/or telephone number. Winners and travel guests will be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, and where lawful a Publicity Release within seven (7) days of receipt of notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if a winner is found to be ineligible or otherwise not in compliance with these Official Rules, prize will be forfeited and an alternate winner may be selected, in Sponsor’s sole discretion. If a winner is an eligible minor in his or her state or jurisdiction of residence, any prize will be awarded to minor’s parent or legal guardian who will be responsible for completing and submit all required documentation.
By accepting a prize, each winner agrees that his or her Content will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Content, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winner hereby waives in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that winner may now or later have to their Content. Sponsor reserves the right to alter, change or modify the Content provided by winner, in its sole discretion. Upon request of Sponsor, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the winner’s Content and of the copyrights transferred and "Moral Rights of Authors" waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. Further, Sponsor may request from winner, that the winner secure from any model(s) or photographer an irrevocable assignment and transfer to Sponsor all of any model(s) or photographer right, title and interest in and to the winner’s Content, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. The model(s) or photographer may be required to waive in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that the model(s) or videographer may now or later have in the winner’s Content. Should Sponsor fail to request the said model(s) assignment or photographer assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment(s).
9. General Conditions: As a condition of participating, participants agree (a) that Sponsor, Facebook, Inc., Muse Communications, Urban Sports & Entertainment Group, Rubin Postaer and Associates, and each of their parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents ("Promotion Parties") are released, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize/Points or participation in this Promotion or any Promotion-related activities, including any travel related thereto; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs. Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrants acknowledge that Section 1542 provides that: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR." The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims. Except where legally prohibited, winners grant (and agree to confirm that grant in writing) permission to Sponsor and those acting under its authority the right to the use of his/her name, picture, likeness, voice, biographical information and statements, at any time or times, for advertising, trade, publicity and promotional purposes without additional compensation, in all media now known or hereafter discovered, worldwide and on the Internet and World Wide Web, without notice, review or approval. The entry information provided is subject to the Privacy Policy available at www.honda.com. No more than the stated number of prizes will be awarded. Use of the Application for any public or commercial purpose (including, without limitation, on another site or through a networked computer environment) is strictly prohibited. You may not modify, publicly display, publicly perform, or distribute the materials in the Application. As between you and Sponsor, Sponsor owns the Application. The Application is protected under United States and international copyright laws. Any unauthorized use of the Application may violate copyright, trademark, and other laws. Sponsor’s trademarks, the materials contained within the Application including videos, photos and graphics and any other product or service name or slogan or logo contained in the Application are the intellectual property of Sponsor, the named individuals or Sponsor’s suppliers or licensors and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the rights holder. 10. Limitations of Liability: Neither Sponsor, Muse Communications, Rubin Postaer and Associates, Urban Sports & Entertainment Group, nor its agencies are responsible for lost, illegible, late, misdirected, incomplete, or non-delivered Activities, Points or email; or for interrupted or unavailable satellite, network, server, Internet Service Provider (ISP), Web site, telephone or other connections, availability or accessibility, or miscommunications, or failed computer, satellite, telephone or cable transmissions, or lines, or technical failure or jumbled, garbled, corrupted, scrambled, delayed, or misdirected transmissions, or computer hardware or software or telephone malfunctions, failures, or technical errors or difficulties, or other errors of any kind whether human, mechanical, electronic or network or the incorrect or inaccurate capture of entry or other information or the failure to capture, or loss of, any such information. Neither Sponsor nor its agencies are responsible for any incorrect or inaccurate information, whether caused by Website users, or by any equipment or programming associated with or utilized in this Promotion; and assume no responsibility for any error, omission, interruption, deletion, defect or delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or tampering with or hacking of the Website. Sponsor reserves the right, at its sole discretion, to disqualify any individual/account it finds to be tampering with the participation or Activity process or operation of Promotion or to be acting in a non-sportsmanlike or disruptive manner, or with intent to threaten, abuse or harass any other person or to achieve more Points than entitled or to otherwise disrupt the Promotion in any manner. Sponsor is not responsible for injury or damage to participant's or any other person’s computer related to or resulting from participating in this Promotion or downloading or copying materials from or use of Website. If, for any reason, Promotion, in the sole opinion of Sponsor, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion or any portion thereof, and determine other winners from participants eligible prior to action taken, or as otherwise deemed fair and equitable by Sponsor. Use of any device to automate Entry is prohibited.
11. Governing Law: By participating, participants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules. By participating, participants consent to the jurisdiction and venue of the federal, state and local courts located in Los Angeles County, California.

Eligibility: The Honda CR-V Sweepstakes ("Promotion") open only to the verified winners of the Honda Band Chatter Promotion (each a "Participant") which takes place beginning September 8, 2011 and ends January 6, 2012. NOT OPEN TO THE GENERAL PUBLIC. The Promotion will take place at the Georgia Dome in Atlanta Georgia on or about January 28, 2012 during the Honda Battle of the Bands Invitational Showcase. The Official Rules governing the Promotion will be provided to each Participant prior to participation. By participating in the Promotion Participants agree to be bound by the Official Rules. Finalists must be legal residents of the 50 United States and District of Columbia, who are of age 18 or older, with a valid U.S. driver’s license, who were verified as winners in the Honda Band Chatter Promotion, accepted their prize in connection with the Honda Band Chatter Promotion and attended the Invitational Showcase. Finalists must have complied with all applicable Official Rules pertaining to Honda Band Chatter Promotion. Employees, officers and directors of the American Honda Motor Co., Inc. ("Sponsor"), Muse Communications, Rubin Postaer and Associates, Urban Sports & Entertainment Group, their subsidiaries and affiliated companies, advertising, promotion, or production agencies and Web masters/suppliers (and their respective tax (IRS) dependents, immediate family members [spouse, parent, child, sibling and their respective spouses] and individuals residing in their same household) are not eligible to participate. 2. HOW TO PARTICIPATE: THE PARTICIPANTS OR PARTICIPANT’S DESIGNATED REPRESENTATIVE, AS DISCUSSED BELOW, MUST BE PRESENT AT THE GEORGIA DOME AT APPROXIMATELY 2:00 P.M. EASTERN STANDARD TIME ON JANUARY 28, 2012 TO BE ELIGIBLE TO PARTICIPATE FOR A CHANCE TO WIN THE GRAND PRIZE VEHICLE. In the event a Participant is unable to participate in the Grand Prize Event, and in Sponsor’s sole discretion, Sponsor will designate a representative (present at the Grand Prize event and approved prior to event by Sponsor in its discretion), to attempt to start the car on behalf of that Participant. Sponsor will distribute keys to the Participants by having each Participant choose a key out of a bowl. The order in which Participants choose their key will be randomly determined by Sponsor. The three Participants or designated representatives will have the opportunity to try to start the assigned Grand Prize vehicle. The Participant with the key that starts the Grand Prize vehicle will be declared the winner. If, due to a production or other error, more than one distributed key starts the Grand Prize vehicle, the Grand Prize vehicle will be awarded in a random drawing from among all Participants in possession of a working key for that Grand Prize vehicle. Odds of a finalist winning the Grand Prize will be 1:3. Sponsor reserves the right to re-schedule the date or location of the Grand Prize event for any reason in its sole discretion. THE VEHICLE AT THE GRAND PRIZE EVENT MAY NOT BE THE ACTUAL VEHICLE AWARDED, ACTUAL PRIZE VEHICLE IS BASED ON AVAILABILITY.
3. Prize: One (1) Grand Prize of a 2012 Honda CR-V EX-L with Navigation System and 4WD technology ("Vehicle"). Retail Value: $29,795.00 plus a destination and handling charge of $810.00. Vehicle will be delivered with standard options. Color, options, accessories, and other prize specifics to be determined at the sole discretion of the Sponsor. Grand Prize Winner must have and provide a valid U.S. Driver’s License and provide proof of existing car insurance coverage (Comprehensive or Liability) at time of pick-up; failure to show same may result in prize forfeiture and selection of an alternate winner, in Sponsor’s sole discretion. Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations including, but not limited to licensing and insurance requirements. Registration and license fees will be paid by Sponsor. Grand Prize winner will be solely responsible for any applicable title and insurance fees, all taxes (federal, state, local and/or income) and any expenses not listed herein related to the acceptance and use of the Grand Prize, including any travel and transportation costs associated with collecting the Vehicle will not be awarded. Winner will be provided instructions to obtain his/her Vehicle at a Honda dealership to be determined by Sponsor. Winner must take delivery of vehicle within 30 days of notification that dealership has received vehicle. Unclaimed prize will be not be awarded.
4. GENERAL TERMS: Prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether, such prizes in whole or in part, are used. Winner will be issued an IRS 1099 form. No substitution of prize is offered, no transfer of prize to a third party is permitted and prize may not be redeemed for cash. Any portion of the prize not accepted by the winner will be forfeited. Sponsor reserves the right to award a prize of equal or greater value in the event the published prize is unavailable. All federal, state and local laws and regulations apply. All Participants, as a condition of entry, agree to be bound by these rules and the decisions of the Sponsor which shall be final and binding. Sponsor reserves the right in its sole discretion, to disqualify any Participant who tampers with the Promotion mechanics or participation process. Vehicle winner acknowledges that the Sponsor has neither made nor is in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prize Vehicle, including but not limited to its quality, merchantability, mechanical condition or fitness, except for any express manufacturer’s warranty as may be included with the prize Vehicle. The winner shall bear all risk of loss or damage to the vehicle after it has been delivered to the specified delivery site.
5. WINNER NOTIFICATION/RELEASES: Winner may be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release. A prepaid overnight package will be included with the paperwork. In the event the Affidavit and Release is not returned within five (5) days, prize may be forfeited, in Sponsor’s sole discretion. Prize may also be forfeited if (i) the notification is sent to the address listed on entry form and returned as undeliverable without a forwarding address (ii) a telephone notification is not confirmed to Sponsor within twenty four (24) hours or (iii) the winner is unable to attend on the dates specified (except as provided for herein). Upon forfeiture for any reason, no compensation shall be given. If a winner is an eligible minor in his or her state or jurisdiction of residence, any prize will be awarded to minor’s parent or legal guardian who will be responsible for completing and submit all required documentation.
6. GENERAL RELEASE: As a condition of participating, participants agree (a) that Sponsor, Muse Communications, Urban Sports and Entertainment Group, Rubin Postaer and Associates, and each of their parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents ("Promotion Parties") are released, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize/Points or participation in this Promotion or any Promotion-related activities, including any travel related thereto; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs. Entrants further understand and agree that all rights under Section 1542 of the Civil Code of California ("Section 1542") and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. If, for any reason, Promotion, in the sole opinion of Sponsor, is not capable of running as planned by reason of infection by computer virus, worms, bugs, tampering, hacking, unauthorized intervention, fraud, technical failures or any other causes which, in sole opinion of the Sponsor, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Promotion or any portion thereof, and determine other winners from participants eligible prior to action taken, or as otherwise deemed fair and equitable by Sponsor.

GOVERNING LAW: By participating, participants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules. 1. Eligibility: The Honda Band Chatter ("Promotion") is open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older, and have a valid U.S. driver's license at the time of participation. Employees, officers and directors of the American Honda Motor Co., Inc. ("Sponsor"), Muse Communications, Urban Sports & Entertainment Group, Rubin Postaer and Associates, their subsidiaries and affiliated companies, advertising, promotion, or production agencies and Web masters/suppliers (and their respective tax (IRS) dependents, immediate family members [spouse, parent, child, sibling and their respective spouses] and individuals residing in their same household) are not eligible to participate. The Promotion is subject to applicable federal, state and local laws and regulations. Sponsor reserves the right, at any time, to verify eligibility requirements in any manner it deems appropriate. By participating, participants agree to these Official Rules, which are final and binding in all respects. Void where prohibited.
2. Promotion Period: Promotion begins at 7:00:00 p.m. Pacific Daylight Savings Time ("DST") on September 19, 2011 and ends at 9:00:00 p.m. Pacific Standard Time ("PST") on January 6, 2012 ("Promotion Period"). Sponsor’s computer is the official time keeping device for the Promotion.
3. To Participate in the Promotion: During the Promotion Period, you can register for the Promotion by visiting Hondabattleofthebands.com ("Website"). If you have not already registered for an account at the Website, you must register for an account and provide the required information. To participate in the Promotion, you must check the box indicating that you have opted-in to participate in the Promotion and that you agree to the Official Rules and authorize the Promotion application ("Application") to pull your profile information and other content in order to participate in the Promotion. Once you have registered you may earn points ("Points") by completing daily social activities during the Promotion Period in order to win prizes, as described below. Limit one (1) Registration per person/email address for the entire Promotion Period. Participants may not register/participate with multiple email addresses nor may entrants use any other device or artifice to register/participate under multiple identities.
4. How to Earn Points in the Promotion: During the Promotion Period, complete one or more of the social activities (each an "Activity") to earn Points in the Promotion, as further described below:
(1) Comment on the Honda Battle of the Bands Website: You can receive one (1) Point for logging into your account and posting a comment ("Comment") on a band's profile posted on the Website and posting a Comment in the "Comments" area. Comments may be monitored or screened and must adhere to the Submission Guidelines in order to be eligible to earn a Point. Limit ten (10) Comments per person/email address per day. Points will be awarded only for each unique Comment posted by the participant the first time that Comment is posted. Identical or substantially similar Comments posted by the same participant may be removed, in Sponsor's sole discretion.
(2) Upload Photos to the Honda Battle of the Bands Website: You can receive one (1) Point for uploading a photo ("Photo") on a particular band's page that illustrates your support for the band. Limit ten (10) Photos per person/email address per day. Points will be awarded only for each unique Photo posted by the participant the first time that Photo is posted. Identical or substantially similar Photos posted by the same participant may be removed, in Sponsor's sole discretion. Photos must not exceed a file size of 1 MB and must be in one of the following formats: .JPG or .JPEG.
(3) "Create Chatter" on a Band's Profile: You can receive one (1) point for sharing via the Facebook "f" button at the top of a band's profile page. This will share the following message on your Facebook profile page promoting the band that you "Created Chatter" and promoting the Promotion ("Message"). Points will be awarded only the first time a participant "Creates Chatter" about a band, subsequent use of the Facebook "f" button for the same band will not be awarded Points.
(4) Referral Links: The Message will also contain a unique referral link ("Referral Link"). If another individual clicks the Referral Link, registers for the Promotion, and subsequently "Creates Chatter" on the same band's profile page, you can receive one (1) Point for each such referral ("Referral"). Points will be awarded only the first time a Referral "Creates Chatter" about the same band, subsequent use of the "Create Chatter" button for the same band by the Referral will not be awarded Points.
Activities have no bearing on whether a particular band is invited to participate in the Honda Battle of the Bands Showcase. Participants Points for various bands which participant has created chatter about do not accumulate, only the highest number of Points earned for a single band will be counted towards the participant's ranking. All Activities must be completed and recorded no later than 9:00:00 p.m. PST on January 6, 2012, according to Sponsor's computer during the Promotion Period, in order to be eligible to earn Points. Comments and Photos hereinafter referred to as "Content." All Content must comply with the Content Submission Guidelines as detailed herein.
5. Content Submission Guidelines: By posting Content in the Promotion, you hereby warrant and represent that your Content conforms to the Content Submission Guidelines set forth herein. Content must not be obscene or indecent; shall not be sexually explicit or suggestive, profane or pornographic, violent or derogatory of any ethnic, racial, gender, religious, professional or age group; shall not promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; shall not be offensive, endorse any form of hate or hate group; shall not defame, misrepresent or contain disparaging remarks about Sponsor or its products or services, or other people, products or companies; shall not communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; shall not invade privacy or other rights of any person, firm or entity; shall not in any other way violate any applicable federal, state or local laws or regulations; shall not infringe any third party trademarks, logos or infringe copyrighted material; shall not advertise or promote any brand or product of any kind without permission; shall not incorporate the names, likeness or personas of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your Content and grant the rights herein granted to Sponsor; and shall not contain any personal identification, such as names, email addresses or street addresses. Content that is not in compliance with these Content Submission Guidelines, as determined by Sponsor in its sole discretion, may be disqualified and will not be eligible to earn Points. CONTENT WAS NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to entrants.
By posting Content you warrant and represent that it: (a) is your original work, (b) has not been previously published, © has not won previous awards, (d) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (e) that you have obtained permission from a person who's name or likeness is used in the Content and (f) and that publication of the Content will not infringe on the rights of any third party rights. Any entrant whose work includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including Sponsor’s use of such entry, in a form satisfactory to Sponsor, upon request, prior to award of prize and/or naming of entrant as a potential winner. By posting Content, you grant Sponsor and its agents an unlimited, worldwide, perpetual, license and right to publish, use, publicly perform the Content in any way, in any and all media, without limitation, and without consideration to you.
6. Determination of Winners: The three (3) participants with the highest Point totals for a single band at the end of the Promotion Period, as determined by Sponsor in its sole discretion will be declared the winners, subject to verification. Participants Points for various bands which participant has created chatter about do not accumulate, only the highest number of Points earned for a single band will be counted towards the participant’s ranking. Sponsor’s record of total Points will be the official determination of Points and participant rankings despite any rankings provided by the leaderboard. In the event of a tie, the participant who earned the tied number of Points in the shortest amount of time, as determined by Sponsor’s computer clock, will be eligible to receive the prize for which that participant was tied. In the event a tie still remains, the participant who received the most points by posting Comments during the Promotion Period will be eligible to receive the prize for which that participant was tied, if a tie continues, then the person who received the most Points by posting Photos during the Promotion Period will be eligible to receive the prize for which that participant was tied.
7. Prizes (3): Each prize winner will receive a trip for winner and one (1) guest to Atlanta, Georgia. The prize trip includes round-trip, coach class air transportation for winner and one (1) guest from a major commercial airport near winner’s home within the U.S. to Atlanta, Georgia one (1) double occupancy standard hotel room for two (2) nights; VIP access to the Honda Battle of the Bands weekend events; and VIP seating to the Honda Battle of the Bands Showcase. The prize winner will also have the opportunity to participate in Honda’s CR-V Promotion which will take place January 28, 2012 in Atlanta, Georgia, as further described in the official rules of the Honda CR-V Promotion located at Hondabattleofthebands.com.
Approximate retail value ("ARV"): $2,000.00. Actual value of trip may vary based on point of departure and airfare fluctuations. Any difference between stated approximate retail value and actual value of Prize will not be awarded. All prize details not specified in the Official Rules will be determined in Sponsor’s sole and absolute discretion. Certain restrictions and black out dates may apply. Selection of airline and hotel are solely within Sponsor’s discretion. Meals, gratuities, luggage fees, incidental hotel charges and any other travel-related expenses not specified herein are the sole responsibility of winner. All travel must be taken on dates specified or prize will be forfeited and may be awarded to an alternate; no alternative travel dates are available. Exact travel dates and arrangements subject to availability. Winner and travel guest must travel on same itinerary. If winner is eligible, but a minor in his/her state of residence, the travel guest must be winner’s parent or legal guardian. A minor may accompany winner as a travel guest only if the winner is the minor’s parent or legal guardian. Minors must be accompanied at all times during trip (including, but not limited to, in-flight, hotel stay and all prize-related events) by minor’s parent or legal guardian. Travel guests must sign and return a travel release before any ticketing of travel occurs. If in the judgment of Sponsor, air travel is not required due to winner's proximity to Atlanta, Georgia, ground transportation will be substituted for roundtrip air travel at Sponsor's sole and absolute discretion. The difference in value will not be awarded to the prize winner. Sponsor shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations. Additional prize award details and travel information to be provided to the prize winner at the time of notification. Prize winner and guests are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Sponsor is not responsible for the cancellation or delay of any event, prize activities, or any portion thereof, for any reason, in which event that portion of the prize will be forfeited in its entirety and no substitution will be provided except in Sponsor's sole discretion.
Points are void after 11:59:59 p.m. EST July 10, 2012. Prizes/Points are non-transferable, may not be substituted, except in Sponsor’s sole discretion, and cannot be redeemed for cash. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. Applicable federal, state, local and other taxes and fees associated with the prizes and any expenses related to the acceptance and use of prizes and not specified in these Official Rules are the sole responsibility of the Winner. 8. Winner Notification: Winners will be notified by email, phone or mail on or about January 28, 2012. Sponsor is not responsible for any change in participant's email, mailing address and/or telephone number. Winners and travel guests will be required to complete, sign and return an Affidavit of Eligibility, a Liability Release, and where lawful a Publicity Release within seven (7) days of receipt of notification. If documents are not returned timely, or if the prize notification or prize is returned as non-deliverable, or if a winner is found to be ineligible or otherwise not in compliance with these Official Rules, prize will be forfeited and an alternate winner may be selected, in Sponsor’s sole discretion. If a winner is an eligible minor in his or her state or jurisdiction of residence, any prize will be awarded to minor’s parent or legal guardian who will be responsible for completing and submit all required documentation.
By accepting a prize, each winner agrees that his or her Content will be deemed a Work Made For Hire under the Copyright laws of the United States, but if it cannot be so deemed, then the winner irrevocably assigns and transfers to Sponsor all of his/her right, title and interest in and to his/her Content, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. Winner hereby waives in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that winner may now or later have to their Content. Sponsor reserves the right to alter, change or modify the Content provided by winner, in its sole discretion. Upon request of Sponsor, winner shall execute and deliver such additional instrument of assignment, as may be solely deemed by Sponsor, reasonably necessary to establish the ownership of record of the right, title and interest in and to the winner’s Content and of the copyrights transferred and "Moral Rights of Authors" waived under these Official Rules. Should Sponsor fail to request the said assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment. Further, Sponsor may request from winner, that the winner secure from any model(s) or photographer an irrevocable assignment and transfer to Sponsor all of any model(s) or photographer right, title and interest in and to the winner’s Content, including all but not limited to all copyright and trademark rights which he or she may have, in the United States and worldwide, therein, for consideration, the receipt and sufficiency of which is hereby acknowledged. The model(s) or photographer may be required to waive in favor of Sponsor, all rights of "Droit Moral" or "Moral Rights of Authors" or any similar rights or principles of law that the model(s) or videographer may now or later have in the winner’s Content. Should Sponsor fail to request the said model(s) assignment or photographer assignment as stated, that shall not be deemed a waiver of Sponsor’s rights and Sponsor may at a later time request the assignment(s).

1. Eligibility: The Honda CR-V Sweepstakes ("Promotion") open only to the verified winners of the Honda Band Chatter Promotion (each a "Participant") which takes place beginning September 8, 2011 and ends January 6, 2012. NOT OPEN TO THE GENERAL PUBLIC. The Promotion will take place at the Georgia Dome in Atlanta Georgia on or about January 28, 2012 during the Honda Battle of the Bands Invitational Showcase. The Official Rules governing the Promotion will be provided to each Participant prior to participation. By participating in the Promotion Participants agree to be bound by the Official Rules. Finalists must be legal residents of the 50 United States and District of Columbia, who are of age 18 or older, with a valid U.S. driver’s license, who were verified as winners in the Honda Band Chatter Promotion, accepted their prize in connection with the Honda Band Chatter Promotion and attended the Invitational Showcase. Finalists must have complied with all applicable Official Rules pertaining to Honda Band Chatter Promotion. Employees, officers and directors of the American Honda Motor Co., Inc. ("Sponsor"), Muse Communications, Rubin Postaer and Associates, Urban Sports & Entertainment Group, their subsidiaries and affiliated companies, advertising, promotion, or production agencies and Web masters/suppliers (and their respective tax (IRS) dependents, immediate family members [spouse, parent, child, sibling and their respective spouses] and individuals residing in their same household) are not eligible to participate. 2. HOW TO PARTICIPATE: THE PARTICIPANTS OR PARTICIPANT’S DESIGNATED REPRESENTATIVE, AS DISCUSSED BELOW, MUST BE PRESENT AT THE GEORGIA DOME AT APPROXIMATELY 2:00 P.M. EASTERN STANDARD TIME ON JANUARY 28, 2012 TO BE ELIGIBLE TO PARTICIPATE FOR A CHANCE TO WIN THE GRAND PRIZE VEHICLE. In the event a Participant is unable to participate in the Grand Prize Event, and in Sponsor’s sole discretion, Sponsor will designate a representative (present at the Grand Prize event and approved prior to event by Sponsor in its discretion), to attempt to start the car on behalf of that Participant. Sponsor will distribute keys to the Participants by having each Participant choose a key out of a bowl. The order in which Participants choose their key will be randomly determined by Sponsor. The three Participants or designated representatives will have the opportunity to try to start the assigned Grand Prize vehicle. The Participant with the key that starts the Grand Prize vehicle will be declared the winner. If, due to a production or other error, more than one distributed key starts the Grand Prize vehicle, the Grand Prize vehicle will be awarded in a random drawing from among all Participants in possession of a working key for that Grand Prize vehicle. Odds of a finalist winning the Grand Prize will be 1:3. Sponsor reserves the right to re-schedule the date or location of the Grand Prize event for any reason in its sole discretion. 3. Prize: One (1) Grand Prize of a 2012 Honda CR-V EX-L with Navigation System and 4WD technology ("Vehicle"). Retail Value: $29,795.00 plus a destination and handling charge of $810.00. Vehicle will be delivered with standard options. Color, options, accessories, and other prize specifics to be determined at the sole discretion of the Sponsor. Grand Prize Winner must have and provide a valid U.S. Driver’s License and provide proof of existing car insurance coverage (Comprehensive or Liability) at time of pick-up; failure to show same may result in prize forfeiture and selection of an alternate winner, in Sponsor’s sole discretion. Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations including, but not limited to licensing and insurance requirements. Registration and license fees will be paid by Sponsor. Grand Prize winner will be solely responsible for any applicable title and insurance fees, all taxes (federal, state, local and/or income) and any expenses not listed herein related to the acceptance and use of the Grand Prize, including any travel and transportation costs associated with collecting the Vehicle will not be awarded. Winner will be provided instructions to obtain his/her Vehicle at a Honda dealership to be determined by Sponsor. Winner must take delivery of vehicle within 30 days of notification that dealership has received vehicle. Unclaimed prize will be not be awarded.
4. GENERAL TERMS: Prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether, such prizes in whole or in part, are used. Winner will be issued an IRS 1099 form. No substitution of prize is offered, no transfer of prize to a third party is permitted and prize may not be redeemed for cash. Any portion of the prize not accepted by the winner will be forfeited. Sponsor reserves the right to award a prize of equal or greater value in the event the published prize is unavailable. All federal, state and local laws and regulations apply. All Participants, as a condition of entry, agree to be bound by these rules and the decisions of the Sponsor which shall be final and binding. Sponsor reserves the right in its sole discretion, to disqualify any Participant who tampers with the Promotion mechanics or participation process. 5. WINNER NOTIFICATION/RELEASES: Winner may be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release. A prepaid overnight package will be included with the paperwork. In the event the Affidavit and Release is not returned within five (5) days, prize may be forfeited, in Sponsor’s sole discretion. Prize may also be forfeited if (i) the notification is sent to the address listed on entry form and returned as undeliverable without a forwarding address (ii) a telephone notification is not confirmed to Sponsor within twenty four (24) hours or (iii) the winner is unable to attend on the dates specified (except as provided for herein). Upon forfeiture for any reason, no compensation shall be given. If a winner is an eligible minor in his or her state or jurisdiction of residence, any prize will be awarded to minor’s parent or legal guardian who will be responsible for completing and submit all required documentation.
6. GENERAL RELEASE: As a condition of participating, participants agree (a) that Sponsor, Muse Communications, Urban Sports and Entertainment Group, Rubin Postaer and Associates, and each of their parents, subsidiaries and affiliated companies, advertising and promotion agencies, and all of their respective officers, directors, employees, representatives and agents ("Promotion Parties") are released, will have no liability whatsoever for, and shall be held harmless by participants against any liability for any injuries, losses or damages of any kind to person(s), including death, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize/Points or participation in this Promotion or any Promotion-related activities, including any travel related thereto; (b) under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; (c) all causes of action arising out of or connected with this Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action; and (d) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys' fees and court costs.
